Liquidation in two phases

The company is first dissolved. The liquidation generally takes place over a one-year period. MDS Solutions can act as the liquidator instead of the administrators, who may resign during an extraordinary general meeting. MDS Solutions undertakes to liquidate the assets and pay debtors.

Once the tax authorities grant approval, the liquidator can distribute the liquidation surplus among shareholders. It can then ask that the company be struck off from the companies register, which is the second phase.

More precisely, the challenge consists in optimising the value of the sequence of future monetary profits (relative to a scope of reference) under the constraints of limiting the risks involved. Its practice has historically been closely associated with resorting to financing from banks and increasingly with market financing.

The practice of corporate finance, therefore, encompasses a vision that is external to the company—those of lenders, investors or intermediaries such as investment banks—as well as one internal to it—that of managers whose internal management decisions determine its financial value.
